These Terms of Service ("Terms") govern your access to and use of the services provided by Honeyglaze Inc. ("Honeyglaze," "we," "us," or "our"), including our website at honeyglaze.store and our AI agent platform (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
By creating an account or using our Services, you represent that you are at least 18 years old, have the legal authority to bind yourself or your organization to these Terms, and agree to comply with all applicable laws and regulations. If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
Honeyglaze provides an AI-powered autonomous agent platform for e-commerce operations. Our Services include, but are not limited to: automated pricing optimization, advertising campaign management, inventory control, customer service automation, and analytics across connected marketplace platforms. The agent operates within the goals, constraints, and guardrails that you configure through our platform.
To access the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials, including API keys, and for all activities that occur under your account. You must notify us immediately at legal@honeyglaze.store if you become aware of any unauthorized use of your account.
Paid plans are billed monthly or annually in advance as indicated at the time of purchase. All fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to change our pricing with 30 days' advance notice. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect. Overdue payments may result in suspension of Services after 14 days' written notice.
The Services, including all software, algorithms, models, interfaces, documentation, and branding, are owned by Honeyglaze and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription term solely for your internal business purposes. You may not reverse-engineer, decompile, or attempt to extract the source code or underlying models of our Services.
You retain all ownership rights in the data you provide to or generate through the Services ("Your Data"). By using the Services, you grant Honeyglaze a limited license to access, process, and transmit Your Data as necessary to provide the Services and as described in our Privacy Policy. We may use aggregated and anonymized data derived from Your Data to improve our models and Services, provided such data cannot be used to identify you or your business.
You acknowledge that the Honeyglaze agent takes autonomous actions on connected platforms within the parameters you define. While we design our systems to operate reliably and within your specified guardrails, you are ultimately responsible for: (a) configuring appropriate goals and constraints, (b) monitoring agent activity through the dashboard, (c) reviewing and responding to escalated actions in a timely manner, and (d) the outcomes of actions taken by the agent on your behalf on third-party platforms.
To the maximum extent permitted by law, Honeyglaze shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Services. Our total liability for any claims arising under these Terms shall not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim. This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).
You agree to indemnify and hold harmless Honeyglaze, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms, (b) your use of the Services, (c) actions taken by the agent on connected platforms pursuant to your configured goals and guardrails, or (d) your violation of any third-party rights.
Either party may terminate these Terms at any time for any reason by providing written notice. We may also suspend or terminate your access immediately if you violate these Terms, fail to pay fees when due, or if continued use poses a risk to the integrity of our Services or other users. Upon termination, your right to use the Services ceases immediately. We will make Your Data available for export for 30 days following termination, after which it may be deleted.
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that agent decisions will achieve any particular outcome. The performance of AI-driven systems depends on numerous factors including market conditions, data quality, and platform availability.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in such courts.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the platform dashboard at least 30 days before they take effect. Continued use of the Services after modifications become effective constitutes acceptance of the updated Terms. If you disagree with any changes, you may terminate your account before the new Terms take effect.
